Terms of service

NovaLuna LLC (“NovaLuna”, “we”, “our”, or “us”), 17 Barnyard Ct., Plainsboro, NJ 08536, provides an AI-powered software platform (the “Service”). By accessing or using the Service, you (“Customer”, “you”, or “your”) agree to these Terms of Service (“Terms”). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

1. Account Registration

Must be 18 yrs+ and provide accurate, complete information.
You are responsible for all activity under your credentials. Notify support@novaluna.ai of any unauthorized access.

2. Subscriptions & Fees

Free Trial: 14 days, 10 000 AI tokens, no credit card required.
Paid Plans: Billed monthly or annually in advance via credit card or ACH. Usage in excess of plan limits will be invoiced at month-end at the then-current overage rate.
All fees are exclusive of taxes; you are responsible for any VAT, GST, sales or similar taxes.

3. License & Acceptable Use

NovaLuna grants you a non-exclusive, non-transferable, revocable right to access the Service solely for your internal business purposes, subject to the User Policy below.

4. Intellectual Property

All software, models, and documentation remain the exclusive property of NovaLuna and its licensors.
Customer retains ownership of all data and documents uploaded to the Service (“Customer Data”).
You grant NovaLuna a limited license to process Customer Data solely to provide and improve the Service.

5. Uptime & Support

Target uptime: 99.5 % measured monthly.
Standard support via email & in-app chat, Monday–Friday, 09:00-18:00 ET.

6. Confidentiality

Each party agrees to protect the other’s confidential information with at least the same degree of care it uses to protect its own.

7. Data Security

AES-256 encryption at rest, TLS 1.3 in transit.
SOC 2 Type II report available under NDA.
Customer may request data deletion at any time; NovaLuna will do so within 30 days.

8. Disclaimers

The Service is provided “as is” without warranties of any kind. We do not warrant that the outputs of any AI model will be error-free or fit for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, NovaLuna’s aggregate liability arising out of or relating to these Terms shall not exceed the greater of (a) USD 10 000 or (b) amounts paid by Customer to NovaLuna in the 12 months preceding the claim.

10. Termination

Either party may terminate for convenience with 30 days’ written notice. NovaLuna may suspend or terminate immediately for material breach. Sections 4, 6, 8–12 survive termination.

11. Governing Law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict-of-law principles.

Use terms for NovaLuna AI Platform

Model Outputs: Customer is solely responsible for verifying the accuracy of AI-generated content before relying on it.
High-Risk Use: The Service is not designed for life-critical or medical decision making. You must obtain NovaLuna’s written consent before using it in any safety-critical application.
Data Residency: Default storage is in US-East-1 (Virginia). EU or on-prem deployment is available on Enterprise plans.
Human-in-the-Loop: For workflows marked “HITL”, human validation is required before downstream automation; bypassing validation voids any SLA.

Privacy policy

NovaLuna values your privacy. This policy explains what data we collect, why, and how you can control it.

1. Information We Collect

Personal data we collect and our legal basis for processing (GDPR)

Account Data – includes your name, email address and billing details. Legal basis: Contract (we need this information to create and maintain your account).
Usage Data – covers how you interact with the product, such as page views and feature clicks. Legal basis: Legitimate Interest (to improve and secure the service).
Customer Data – any documents, text or images you upload to NovaLuna. Legal basis: Contract (processing is necessary to provide the core functionality you signed up for).
Cookies – small files like session IDs and anonymized analytics events stored in your browser. Legal basis: Consent and/or Legitimate Interest (essential cookies for login, analytics cookies to understand product usage).

2. How We Use Information

Provide, maintain, and improve the Service.
Train and fine-tune AI models only on anonymized, aggregated data unless you opt-in otherwise.
Send transactional emails (invoices, security alerts). Marketing emails are opt-in.

3. How We Share Information

Service Providers: AWS, Stripe, HubSpot—bound by DPA.
Legal Compliance: When required by law or to protect rights.
No Sale of Personal Data: We do not sell or rent personal data to third parties.

4. Data Retention

Customer Data is retained for the duration of the contract plus 30 days, then deleted or returned at your option. Back-ups are purged on a 30-day rolling basis.

5. Your Rights

Where applicable, you may access, correct, delete, or port your personal data, or object to processing by emailing privacy@novaluna.ai.

6. International Transfers

We rely on Standard Contractual Clauses for transfers outside the EEA.

Cookies and tracking

We use:

Essential Cookies – session authentication.
Analytics Cookies – product usage (Plausible Analytics).
Preference Cookies – remember language/theme.

You can manage cookies via the in-app Privacy Settings or your browser. Disabling cookies may affect functionality.

User policy (Acceptable Use)

You agree not to:

Upload or generate content that is illegal, hateful, or sexually explicit.
Reverse engineer or scrape the Service.
Use the Service to train competing AI models.
Introduce malware, bots, or other harmful code.
Misrepresent your affiliation with any person or entity.

Violation may result in immediate suspension or termination of your account.

User responsibilities

Keep account credentials confidential.

Maintain backups of critical Customer Data.

Comply with all applicable laws (export control, privacy, IP).

Obtain all necessary consents for Customer Data you upload.
